Principes

Principles To ensure a secure environment for vulnerable individuals, DomoHealth S.A. (“DH”) offers a range of intelligent alert systems for use in living spaces (such as homes, nursing facilities, etc.) or outdoors (e.g., alarm buttons, connected bracelets, etc.) (the “Products”) associated with health and activity analysis services that identify risk situations and inform authorized individuals (family, friends, and caregivers) (the “Services”).

DH may entrust the marketing of its products and services to Certified Partners (“CPs”). CPs may agree on additional services with the user (“you”).

The detailed general conditions below (the GTC) govern the contractual relationship between you and DH. If you have acquired DH services from a certified partner, these general conditions also apply to the contractual relationship between you and DH.

DH offers different packages and modes of service provision, which may vary depending on the acquired devices, included features, and associated services.

1. Your Status

You guarantee that you have the power to conclude and execute the contract, which constitutes a valid and binding obligation for you, enforceable according to its terms.

2. Conclusion of Contract

The order binds the customer as soon as it is placed on the website https://www.domo-safety.com or through the order form. DH accepts the order by sending the customer an order confirmation or by delivering the ordered goods. If you disagree with the GTC, please refrain from placing an order.

DH reserves the right to modify the GTC at any time and without notice by publishing a new version on the website (which cancels and replaces the existing version). Any order placed after DH publishes a new version of the GTC constitutes acceptance of that new version. The provisions of the GTC relating to the use and/or operation of the website only apply to orders placed through the website.

The sale is only accepted – and consequently, the contract is concluded – once DH, directly or through a CP, confirms the order. DH reserves the right to refuse an offer at its sole and absolute discretion, without being obliged to indicate the reasons.

3. Services

For these Services where DH grants you access and use of its Service, via your personal computer, mobile phone, or other access device, you are granted access for private and non-commercial purposes only, and subject to strict compliance with the agreements between you and DH.

Other individuals or entities than yourself may use the DH Service, but only if they have your consent and all the necessary legal authorizations to do so.

DH may make changes to the Service at any time, without notifying you, to improve the Service according to DH’s assessment and/or to comply with regulatory or legal requirements. DH will strive to provide the Service with minimal disruption, but DH is not responsible for the performance of services provided by third parties collaborating with DH to deliver its Service. Therefore, DH is not obligated to guarantee uninterrupted, timely, or flawless operation of the Service.

For its Services related to securing living spaces, DH recommends maintaining daily communication with your registered contacts and participants in DH’s Service.

DH offers a Service with features that provide security or information regarding your health. Some of these features aim to prevent or anticipate a decline in your autonomy and/or assist you in case of emergencies. DH may modify the technical characteristics to meet the demands and latest technological innovations and/or comply with applicable regulations. DH may also need to repair, enhance, and/or update the Service, which may require restricting, limiting, suspending, interfering with, and/or interrupting the Service.

DH is in no way responsible for illnesses, accidents, or other events that may worsen your health, nor for any medical and/or health-related consequences associated with the use of its Service.

DH is not responsible for the content of communications transmitted through the use of its Service. The content of such communications is entirely your responsibility.

4. Identification and Password

For Services that require it, all information regarding the DH Service related to you is accessible only through the access rights provided to you by DH or the PC.

You acknowledge that you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer and phone to prevent unauthorized access to your account.

You are solely responsible for any third-party use of your account through the aforementioned access rights. You accept responsibility for all activities that occur on your account. You must take all necessary measures to ensure that your password is kept confidential and secure. If you have reason to believe that someone else knows your password or if the password is being used or is likely to be used without authorization, you must immediately contact DH or the PC.

5. Service Activation

The central unit contains a SIM card provided by DH or the PC to ensure communication between the central unit and DH servers. The central unit will start establishing communication with DH servers immediately after being connected. Your contract begins when the central unit starts establishing communication with DH servers.

For solutions that involve prior learning of lifestyle habits, during the first 15 days, the system is in a learning phase, and after this period, it will require your validation of the indicators necessary for the functioning of the Service. During this learning phase, only emergency information related to the call button is activated. Validating the indicators after this learning period activates additional features of the Service.

6. Service Execution

DH provides its entire Service in accordance with internationally recognized industry standards and applicable law. You accept responsibility for selecting the chosen Service, interpreting the provided information, prevention or emergency messages, and using the results. DH expressly reserves the right to subcontract the execution of its Service to third parties under these terms and conditions.

DH is not responsible for any misuse, whether due to fault or negligence, of its Service and/or equipment. The installation, commissioning, control of the device, and its removal are the exclusive responsibility of DH or the PC. The device must remain powered at all times.

7. Indicators

During the installation of DH’s products and/or Service, you are responsible for validating the indicators that configure DH’s products/Service. The system will transmit indicators for its reports based on the analyzed information.

8. Emergency

The security Service has features that allow you to choose how you request assistance. You acknowledge that these features have been implemented in a technology that does not guarantee their full availability or perfect accuracy.

You agree not to rely solely on DH’s products and/or Service to deal with emergency situations.

DH does not practice medicine, provide a diagnosis, or give recommendations regarding your health condition. Please consult your doctor or any other qualified healthcare professional if you have any questions regarding a medical condition or before taking medication, making dietary changes, or starting or discontinuing any treatment.

9. Prices

DH reserves the right to modify its prices at any time. The price indicated in the order confirmations is the binding price. The prices shown on the website are expressed in Swiss francs (CHF) and include, if applicable, VAT and SWICO tax. They do not include any additional taxes that may be required by applicable law. Preparation fees are invoiced separately according to the indications mentioned in the order confirmations. If delivery fees apply to purchased products, it will be mentioned in the order confirmations. The prices shown on the website are only valid within the territory of Switzerland. In addition to the sale price, there may be additional charges at your expense, including configuration, installation, and commissioning of the products and/or Services, file opening, on-site intervention by a technician, connections, testing, uninstallation, or maintenance of the products and/or Services. These fees are invoiced separately. Any additional costs related to emergencies are at the user’s expense.

10. Payment

The accepted payment methods by DH are those indicated to you directly by DH, by a DH representative, or in a DH order prospectus, as specified on the website. Any order offer on the website is subject to prior payment of the total order amount, as well as any preparation and delivery fees. If DH rejects the offer, the amount paid by you will be refunded (without interest). Payments made through the website are processed using servers provided and secured by DH’s financial partners, so no financial information concerning you is transmitted through DH’s servers. The risk of a malfunction of the website’s payment system is borne by you, relieving DH of any responsibility. Payments following an order placed outside the website must be made within 30 days from the date of the invoice issued to you. In case of late payment, DH may charge you reminder fees of CHF 10 for the first reminder, CHF 30 for the second reminder, and CHF 50 for the third reminder.

 

11. Delivery

The preparation and delivery fees are as mentioned on the website and in the order confirmation. Unless otherwise specified, the products are shipped to the delivery address you provided during the order. You are solely responsible for the accuracy and timeliness of the address you provide to DH. DH cannot be held responsible for non-delivery of a product due to an incorrect or outdated address provided. The risks associated with the shipment of the goods are transferred to you once the product is handed over by DH to the chosen carrier. If a package is returned to us by the carrier due to unsuccessful delivery attempts (exceeded postal deadlines, incorrect recipient address, etc.), you will be notified via email sent to the address you provided in your profile or during the order. If we do not receive a response from you within 3 months from the date of the email, the order will be canceled. DH is then released from its obligation to deliver the goods, and the amount paid by you is retained by DH as a contractual penalty, settling all accounts and claims related to the respective order. The transportation costs and risks associated with the return of an unclaimed package (including in the event the carrier does not leave a delivery notice) and/or any potential re-shipment are solely borne by you, as well as the risks associated with the storage of the returned goods. Prior to any re-shipment, DH may ask you to cover the related expenses. DH makes its best efforts to ship the ordered products within 10 business days, starting from the end of the sale. However, this timeframe is purely indicative and not binding.

12. Your Responsibilities

You must not use DH’s products and/or Service in a way that could damage the devices in any manner. You must not use DH’s products and/or Service for fraudulent purposes or in connection with a criminal offense or any other illegal activity, or in a manner that DH deems, at its sole discretion, as unauthorized, illegal, fraudulent, or inappropriate. DH disclaims any responsibility for errors in communication and configuration of the contact list, as well as for any errors or omissions made by the listed contacts.

DH’s Right of Revocation

After the conclusion of the contract, DH has the right to cancel an order that has not yet been delivered at any time and without stating the reasons to the customer. In the event of DH’s revocation, the amount paid by you will be refunded in cash or, at DH’s discretion, in the form of a voucher. The refund settles all accounts and claims, and you cannot claim any additional damages from DH. Your claims are limited solely to the full refund of the amount paid in cash or in the form of a voucher. If DH exercises its right of revocation, DH is released from its obligation to deliver the goods.

 

14. Warranty for Defects

DH offers a warranty for defects in Products that appear within 24 months from the date of delivery, despite normal and reasonable use of the Products by you. This warranty does not cover:

Damages resulting from repairs not performed by DH or an authorized service provider.

Replacement of consumables such as batteries, cables, chargers, etc. not performed by DH or an authorized service provider.

Damages caused by external factors such as accidents, internal or external shocks, lightning, power surges, rust, water, and sand.

Defects that occur because the user did not follow DH’s or a service provider’s oral, visual, or written instructions regarding installation, commissioning, or use.

Defects attributable to use in an environment or for a purpose for which the products and/or Service was not designed by DH. Upon receipt of your order, you must immediately inspect the Product. If applicable, before signing the carrier’s delivery note, you must check for any apparent defects at the time of delivery (e.g., delivered product does not match the ordered product, incomplete product, etc.). In case of apparent defects, you (or any other person receiving the Product on your behalf) must indicate them on the delivery note as a handwritten reservation along with your signature. In the absence of such a reservation, such defects will be considered accepted. For defects that are not apparent at the time of delivery with signature or in the absence of such delivery method, you must notify DH’s customer service (the “Customer Service”) of any defect within 3 business days from the moment you became aware of the defect, otherwise the defect will be considered accepted. The return procedure of Article 15 applies in this case. When purchasing multiple Products, the potential defectiveness of a Product, its replacement, or the inability to deliver it does not invalidate the entire purchase contract. DH manages the order for each Product independently. In the case of a defect in a Product, DH may, at its sole discretion, (i) replace the Product, (ii) repair the Product, or (iii) refund you the price of the Product. To the extent that the ownership of the Product has already been transferred to you, the defective Product becomes the property of DH once it has been replaced or refunded.

15. Return Procedure

In the event of a defect (Article 14), you must obtain return authorization from the Customer Service before returning the goods. No goods will be accepted without prior acceptance of the return by DH. Upon receipt of the return authorization, you have a period of 7 business days to return the goods to DH. After this period, the return will be refused. The return must be made using the original packaging, with a signature required. You bear the sole risks associated with the return of the goods. Unless justified return due to a defect (Article 14), the return costs are at your expense.

17. Privacy Policy

In the context of collecting and processing your personal data when using the Services, subject to any foreign legal provisions that may directly apply in our territory, we are subject to Swiss legislation on data protection. 18. Intellectual Property Rights

We grant you a non-transferable and non-exclusive license to use the software that accompanies our Products and/or Services, to the extent permitted by the Terms and solely for the purpose of enjoying the Products and/or Services. This provision also governs any updates that may replace or supplement our original software, unless such upgrade is accompanied by a specific license. You may not transfer or redistribute our software or grant a license to it. You may not copy, modify, decompile, or attempt in any way to discover or reuse our source code. The creation of derivative works, in whole or in part, from our software (or any updates thereto) is prohibited.

19. Disclaimer of Liability

The photos and texts illustrating and describing the Products and/or Services on the website are not contractual and are provided for informational purposes only. DH assumes no responsibility for errors and/or omissions related to the photos and/or texts on the website. TO THE EXTENT PERMITTED BY LAW, DH, ITS OFFICERS, EMPLOYEES, AGENTS, AND REPRESENTATIVES SHALL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING IN CONNECTION WITH THE PRODUCTS AND SERVICES SOLD BY DH, THEIR USE, SALE, OR YOUR USE OF OR ACCESS TO THE WEBSITE, ARTICLE 199 OF THE SWISS CODE OF OBLIGATIONS (GROSS NEGLIGENCE OR WILLFUL MISCONDUCT) RESERVED. 21. Miscellaneous

Unless otherwise indicated by the context, the singular includes the plural and vice versa; any reference to gender includes all genders; words designating individuals include companies and corporations, and vice versa. In case of doubt as to interpretation, the French version of the contract shall prevail.

22. Applicable Law and Jurisdiction

Swiss law applies to these Terms and Conditions. The place of jurisdiction is at the registered office of DH.

Bed occupancy sensor

This system is made up of4 motion sensors placed discreetly around the home, an occupancy sensor placed under the mattress and a door sensor. Our intelligent system identifies unusual situations and sends an alert to the emergency call service, family member or caregiver; for example, an abnormal lack of movement in the event of a fall in the bathroom, not returning to bed at night, or when the person remains absent from home.

GPS tracker

The DOMO Mobility alert system is made up of a charging station and portable alert device. It offers complete freedom of movement and daily protection, at home and outside, 24/7.

It has a battery life of 48 hours without recharging and an unlimited range, so that your loved one can get help when they need it most.

At the press of the alert button, the device can warn you and other caregivers in case of an emergency (for example illness or a fall). You can communicate through an integrated two-way speaker and receive the GPS position of your relative directly via the DOMO mobile app, with no limits on distance or installation.

If you fall or become ill at home or on the move, connect to the emergency call centre at the touch of a button. Within a few seconds, you can speak to an operator trained in emergency situations via the microphone and speaker integrated into the watch. He or she can get help by transmitting your position to the emergency services, located using the watch’s GPS. Once configured, the watch works autonomously, even without a smartphone.
